Will they? Won't they? Biglorryblog on the latest turn in the MAN takeover of Scania...


   For all those readers of Biglorryblog who have been following the great 'MAN/Scania bid' saga, here is the latest communique from the folks at Munich which is about a unequivocal as it gets in this business in terms of saying yes, we're definitely going to go for it.

"MAN notes the recent media speculation concerning a possible offer by MAN for Scania and the statement made by Scania last night. MAN believes that the rationale behind combining MAN and Scania is compelling and confirms its interest in such a combination.Together MAN and Scania would become Europe's leading truck business creating a platform for profitable growth. A further statement will be made next week."

Yours truly can't help wondering exactly when the Germans will decide to drop their bid bombshell. My money's on press day at next week's Hanover IAA Truck Show when all the world's trucking hacks will be there ready and waiting. Indeed the last time something like this happened to Scania was when Volvo snapped up a whole raft of its Swedish rival's shares to give it a 12.8% stake in the company at the time of the 1999 Brussels truck show when we were treated to the sight of senior Scania bosses scurrying over to the Volvo stand to find what exactly what was going on from their counterparts. What fun! Of course, Volvo eventually had to divest itself of those Scania shares when it 'merged' (sic) with Renault but that's another story.

Meanwhile, assorted pundits and 'weisenheimers' are speculating as to what role Scania chairman Bernd Pischetsrieder will play in the whole brouhaha. Pischetsrieder also happens to be boss of VW and is Scania chairman by virtue of VW's 36% stake in the Swedish truck maker. He is also reported to have been keen to sell off VW's South American truck operation (below) and European van business to (you guessed it) Scania.

Some analysts are already lining him up as 'King Maker' in any deal with MAN. Naturally, Biglorrybog will continue to keep you all informed. Earlier today I was asked by a colleague whether I thought MAN would succeed in any bid. My answer now remains the same as before. "It all depends on Scania's shareholders". If they back an MAN takeover,then Scania boss Leif Ostling could find himself outgunned.

"Analytiker zeichnen ihn bereits oben als ' König Maker ' in jedem möglichem Abkommen mit MANN. Natürlich fährt Biglorrybog fort, Sie ganz informiert zu halten. Früherer heutiger Tag wurde mich von einem Kollegen gefragt, ob ich dachte, daß MANN mit gebotenen irgendwelchen folgen würde. Meine Antwort bleibt jetzt dieselbe wie vorher. "alle sie hängt von den Aktionären Scanias" ab. Wenn sie eine MANN-Übernahme unterstützen, dann outgunned Scania Chef, den Leif Ostling sich finden könnte."

Pai iti spun in mare ce scrie in articol: MAN este tentat sa cumpere pachetul majoritar de actiuni al Scania, asta dupa ce in trecut au existat colaborari la dezvoltarea trenurilor de rulare si cutiilor de viteze. Deocamdata cei de la MAN nu sunt prea hotarati sa faca acest pas, insa mai este un "pion" important in toata aceasta afacere, care s-ar putea opune acestei "aliante" si anume presedintele VW,Bernd Pischetsrieder care detine 36% din actiunile Scania si care ar dori sa vanda divizia de autovehicule comerciale VW nimeni altcuiva decat celor de la Scania. Deocamdata insa sunt foarte multe speculatii si este greu sa se formeze o opinie concreta in acest caz, dar poate salonul IAA Hanovra acum la sfarsitul lui septembrie va lamuri ceva.  :peacefingers:

What looks like the first serious shots in what promises to be a pretty protracted MAN takeover battle for Scania have now been fired. Today(Monday the 18th) Scania issued the following notice in which it publically rejects the soft whispered blandishments from the men at Munich.

MAN AG has today made a public offer for all the shares in Scania AB.

On 13 September, 2006 the Board of Directors of Scania AB received a letter from the Chairman of the Executive Board of MAN AG, describing a possible offer on Scania. In all material aspects, the public offer is in line with the contents of the above letter.

At a Board meeting held on 17 September, 2006 the Board of Directors carefully studied the contents of the letter and have, after having engaged professional advisors to assist in its review and assessment of the proposal, unanimously decided not to support the proposals outlined therein. On Sunday 17 September, the Board of Scania promptly informed MAN AG of its decision.

Should we be at all surprised by this? No of course not...... only as the Hanover show prepares to open its doors to welcome the world's assorted trucking hacks there will no doubt be a feedy frenzy around the stands of both manufacturers in a bid to find out what's going to happen next. Naturally Biglorryblog will be there to snap up the odd unconsidered crumb. So will the Scania board carry the day with the Swedish truck maker's shareholders? Now that as they say is the $64,000 question. I wonder also whether we'll see a copy of the letter too....?

No way no how ! Nu imi doresc sa se intample asta, pentru ca in momentul de fata Scania este "la mila" actionarului principal si anume presedintele VW, care are planuri de exploatare a retelei de service si dealeri Scania din America de Sud pentru a dezvolta divizia VW Nutzfahrzeuge de acolo, plus pentru "infuzia" de tehnologie Scania catre MAN, deci pana acum NIMIC avantajos pentru Scania, nici macar ultima oferta de 10 miliarde de euro !!!  :peacefingers:

Mie îmi sună a anii '80 când "Mercedes" a preluat "Saurer" și "FBW" și le-a falimentat. Probabil erau invidioși pe autibuzele și troleibuzele elvețienilor -erau prea bune - nu cred că există pera multe troliebuze germane de acum 30-50 să mai meargă, dar "Saurer" și "FBW" încă se folosesc...

Nu neaparat falimentarea Scania, dar mai mult ca sigur ca va trece pe planul 2 in ceea ce priveste dezvoltarea.  :peacefingers:

eu is curios cum ar dori cineva care a bagat bani buni intr-o alta firma sa o faca sa scada, ca sa faca bani mai putini. Poate doar daca din dezvoltarea VW va capata mai multi bani decat pierderea suferita cu scania

Munich/Stockholm. MAN ONES and the Swedish truck manufacturer Scania took up direct discussions with one another for the first time after a newspaper report in the Übernahmepoker. The Board of Scania criticises MAN’s offer



The Board of Directors of Scania notes that MAN’s All Cash Alternative is currently worth SEK 464 per share*. This is a lower price than we understand was the highest SEK equivalent price paid by MAN to acquire Scania shares in the market, which was the basis for the modified offer.

Furthermore, the Board of Directors notes that the terms of MAN’s offer as represented in the offer document are substantially the same as those published by MAN on 12 October. However, MAN has omitted to include in the document that the Board of Directors of Scania rejected the offer on 12 October.

Scania will raise both of the above issues with the Swedish Securities Council.

The Board of Directors will finalise its review and revert with a full response and reasoned statement to MAN’s offer in due course.

"Telenovela" continua, consiliul director de la Scania, le sugereaza actionarilor sai sa refuze in continuare oferta NESOLICITATA din partea celor de la MAN. De asemenea tot conducerea Scania sustine (pe buna dreptate) faptul ca oferta MAN subevalueaza mult compania Scania in momentul de fata fiind cea mai de succes si profitabila companie europeana independenta ! Totul se rezuma la cei de la VW, ei sunt actionarii majoritari, iar consiliul de la Scania le-a sugerat daca tot nu vor sa se razgandeasca, sa vanda actiunile de tip A si B cu 51.29 euro.
